Terms of Service

Who we are
Orvae Solutions LLC ("Orvae," "we," "us") is a Missouri limited liability company. We build websites, automations, and messaging systems for trades and service businesses in the St. Louis, MO area. These terms govern your use of this website and, unless a signed agreement says otherwise, the services we provide.
Using this site
You may use this site to learn about our services and to contact us. Don't use it to break the law, interfere with how it runs, or submit information that isn't yours to submit. We may change or take down any part of the site at any time.
Contacting us
Submitting our contact form doesn't create a contract or a client relationship. It starts a conversation. Work begins only once we've both signed a written agreement describing the scope, the price, and the timeline.
Calls and text messages
By submitting the contact form, you agree that we may contact you by phone or email about your inquiry. SMS text messages require the separate, optional opt-in box on that form, which is unchecked by default; consent to be texted is never a condition of doing business with us. If you opt in, message and data rates may apply, message frequency varies, and you can stop the messages at any time by replying STOP, or get help by replying HELP. Your phone number and SMS consent are never shared with third parties or affiliates for marketing purposes. We don't send marketing or promotional text messages. See our Privacy Policy for how we handle your information.
Messaging services for clients
Where we operate messaging on a client's behalf — for example, an automatic text reply to someone who called the client's business and didn't get an answer — the client remains the sender of record for those messages. Messages send from the client's own registered number under the client's own brand and campaign registration.
Clients are responsible for having a lawful basis to message the people they message, and for complying with the TCPA, CTIA guidelines, carrier requirements, and any other law that applies to their messaging. We build the systems to honor STOP and HELP automatically, to message only people who contacted the business first or who are existing customers, and to never send promotional content. We don't send to purchased, rented, scraped, or appended lists, and our systems provide no way to do so.
Fees and payment
Prices, payment schedules, and what's included are set out in the written agreement for each engagement. Recurring services are billed on the cycle stated there and continue until either side cancels. Third-party costs passed through to you — carrier and registration fees, hosting, and similar — are billed at cost unless we've agreed otherwise in writing.
What we own, what you own
You own your business's content, data, and customer information. You own the deliverables we build specifically for you once you've paid for them. We keep ownership of the underlying templates, libraries, and infrastructure we reuse across clients, and you get a license to use them for as long as we're working together.
No guarantee of results
We build systems that help you catch and respond to more work. We don't promise a particular number of leads, jobs, or dollars, and nothing on this site should be read as that kind of promise. Our services depend on things outside our control — phone carriers, hosting providers, registration authorities, and your own operations. You should keep your own means of answering and returning calls; our systems supplement that, they don't replace it.
Limitation of liability
To the extent the law allows, neither side is liable to the other for indirect, incidental, special, or consequential damages, including lost profits or lost business opportunities. Our total liability arising out of the services is capped at the greater of the fees you paid us in the three months before the claim or $1,000. Where a signed agreement between us says something different, that agreement controls.
Ending things
Either side can end an engagement as described in the signed agreement. On termination you owe us for work completed through that date, and we'll give you a reasonable opportunity to export your data.
Governing law
These terms are governed by the laws of the State of Missouri, without regard to its conflict-of-laws rules. Disputes go to the state or federal courts located in St. Louis County, Missouri.
Changes
If we update these terms, we'll post the new version here with a new "last updated" date. Continuing to use the site after that means you accept the change.
